Position Specific Description

We are seeking a motivated and detail-oriented individual to join our team as a Project Manager specializing in commercial and legal contract management for renewable project development. The ideal candidate will be adept at managing multiple and diverse workflows, have strong organizational skills, and possess a keen eye for detail. This role is critical in supporting the successful negotiation of commercial agreements and the effective management of contracts. The role is primarily focused on built-transfer agreements and membership interest purchase agreements (MIPAs) across the MISO and PJM region and would also assist in power purchase agreements (PPAs) and Energy Storage Agreements (ESAs). Employees in this job provide contract management support to project team members, ensure data is properly stored on internal systems, and circulates critical contractual requirements with customers.

 

The ideal candidate will have: 

  • Experience: 3+ years of experience supporting or managing complex commercial, legal, or transactional agreements in energy, infrastructure, real estate, or a similarly regulated industry
  • Experience with supporting PPAs, ESAs, or other long-term offtake or service agreements
  • Background in law, paralegal work, contracts management, or transaction advisory, with hands-on responsibility for drafting support or exhibit coordination

 

Other Job Duties Include: 

  • Serve as a project management lead for complex commercial agreements, with a primary focus on Build-Transfer Agreements (BTAs) and Membership Interest Purchase Agreements (MIPAs) across the MISO and PJM regions
  • Coordinate the end-to-end execution of transaction documents, including schedules, exhibits, disclosures, and ancillary agreements, ensuring accuracy, consistency, and completeness
  • Develop and maintain transaction schedules and critical path timelines, tracking deliverables, milestones, and conditions precedent through financial close and post-close activities
  • Manage exhibit creation and validation, including site control summaries, permitting status, interconnection materials, milestone schedules, and technical appendices
  • Track and manage contractual obligations, covenants, and closing conditions, ensuring timely satisfaction and documentation of requirements
  • Support transaction diligence by organizing data rooms, diligence requests, and closing checklists
  • Identify and escalate schedule risks, document gaps, and execution issues, proposing mitigation strategies as needed
  • Contribute to the continuous improvement of contract execution workflows, document management practices, and internal coordination processes
  • Maintain clear and organized records of transaction materials in accordance with company policies and audit requirements

Job Overview

Employees in this role assist in the development and execution of plans for new and enhanced generation projects. This job coordinates allocation of resources, schedules, and technical adequacy, ensuring the project or transaction is completed in the most cost effective and competitive manner. This position participates in all aspects of the business deal and ensures the project is completed on time and within budgetary constraints.

Job Duties & Responsibilities

  • Leads and facilitates the day to day transaction process to ensure timely completion as well as a cost effective and competitive result
  • Coordinates key functions such as financial feasibility analyses, engineering/design, project legal review, permitting activities and financial negotiations
  • Supports due diligence activities with other internal groups to ensure proper analysis and structuring of assigned projects
  • Acts as liaison between internal and external specialists regarding procurement, contracting, permitting and interconnection
  • Assists in the construction of contractual arrangements for project development
  • Participates in negotiating agreements with consultants and subcontractors
  • Ensures compliance with applicable technical and regulatory requirements
  • Fosters external relationships with customers, third parties and members of the community
  • Performs other job-related duties as assigned
