Position Specific Description

 

This role provides securities and governance support to NextEra's public companies and most significant subsidiaries and is responsible for preparing and filing reports under Section 16 of the Securities Exchange Act of 1934.  The Paralegal is responsible for providing timely and accurate information in response to requests from senior management, the Chief Legal Officer, the Corporate Secretary and outside counsel.  The Paralegal provides public securities and governance support for the most significant enterprise-wide initiatives, including corporate mergers and acquisitions, execution of the Treasury financing plan and public utility regulatory matters. 
 
Preferred background:
•    Background in law firm or legal department supporting public company governance including filings of Forms 3, 4 and 5s.
•    Maintaining corporate records and shareholder information.
•    Preparing authorizing resolutions.
•    Preparing secretarial certificates.
•    Communicating with and gathering information from executives in connection with questionnaires and 10b5-1 plans.
•    Demonstrated attention to detail.
•    Demonstrated ability to manage long-term projects to completion.
•    Experience shepherding proxy and authorizing resolutions for approval by executives.
•    Proficiency with Microsoft Office Suite and Diligent.

 

The Paralegal will be expected to:
•    Support governance of NextEra's public companies and most significant subsidiaries.
•    Prepare and track corporate resolutions and authorities at NextEra's public companies and significant subsidiaries.
•    With attorney oversight, prepare and file all Section 16 reports (Form 3s, 4s and 5s) and maintain stock ownership records for directors and officers, and communicating with directors and officers regarding stock ownership matters.
•    Prepare and draft 10b5-1 plans for Section 16 and non-Section 16 filers.
•    Special projects as requested by Chief Legal Officer, Corporate Secretary, business unit general counsel and Managing Attorney to whom the Paralegal reports.
•    Support major transactions, including corporate mergers and acquisitions, and Treasury corporate and capital market financings.
•    Provide support on international entities, particularly for Canadian matters, and including extensive support to the tax department.
•    Respond to inquiries about minutes; review and redact corporate board minutes and materials for regulatory audits and proceedings.
•    Maintain accurate, confidential records, logins and passwords for SEC filings; Manage process for instruction letters to transfer agent.
•    Conduct proxy due diligence for related party analysis and update and maintain responses to director and officer questionnaires.
•    Oversee and support entity management database; oversee officer change updates and written consent process.

 

Support other subsidiary governance tasks for the company’s 2400+ subsidiaries as needed.
