Position Specific Description

The XPLR General Counsel will be an integral, valued member and part of a fast-paced entrepreneurial environment at XPLR. XPLR is seeking an experienced corporate and finance attorney who has a track record for independently leading M&A transactions, from start to finish (with external counsel support as needed), along with other related strategic transactions. The XPLR General Counsel will have experience in project and corporate finance, including secured and unsecured syndicated credit facilities, nonrecourse portfolio financings, mezzanine financings, restructurings, capital markets transactions, and tax equity transactions, and a proven record of commercial awareness. This position will lead complex financings, including project financings and tax equity transactions, and corporate financings, and play a lead role in drafting, negotiating, and providing transactional assistance to internal clients. The XPLR General Counsel will lead transaction negotiations including purchase agreements, financing documentation, and ancillary agreements while coordinating specialists’ legal review. The XPLR General Counsel will partner directly with our commercial team and senior attorneys to structure deals, draft term sheets, negotiate primary transaction documentation, manage outside counsel relationships, oversee transaction due diligence, coordinate cross-functional internal reviews, and handle day-to-day contract work including NDAs and short-term agreements.

 

This role sits 5 days in office in Juno Beach, FL. This is not a remote role.

 

Responsibilities include:

  • Representing XPLR internally and externally on all corporate transactions (M&A) and finance deals.
  • Coordinating with business stakeholders and overseeing/leading outside counsel to manage the company’s M&A deal flow and project pipeline effectively and efficiently.Advising and supporting the finance team to ensure compliance with all financing arrangements.
  • Providing summaries of deal terms, including identification of risk factors, to a range of legal and business stakeholders.
  • Coordinating diligence efforts for finance transactions, collaborating closely with the finance and development teams.
  • Overseeing M&A transactions, ensuring compliance with all legal requirements.
  • Managing due diligence, instructing outside counsel, and performing thorough document review and drafting essential documents for each deal.
  • Handling post-closing tasks, such as drafting amendments, reviewing closing terms, assisting the business with assignments, and managing transition service agreements.
  • Providing written and oral legal advice to internal clients.
  • Anticipating and guarding against legal risks involving the organization’s M&A activities.
  • Working to ensure budget compliance and reducing/managing the need for outside counsel.
  • Performing other job-related duties as assigned.

 

Key Qualifications

  • Experience in corporate finance and project finance structures, including secured and unsecured syndicated credit facilities, non-recourse portfolio financings, mezzanine financings, restructurings, capital markets transactions and tax equity transactions.
  • Experience in a top nationally ranked law firm and in-house legal department, although exceptional law firm candidates will be considered.
  • Renewable energy industry experience is ideal.
  • Excellent written and oral communication skills.
  • Juris Doctor from an ABA accredited law school required.
  • Active license to practice law, in good standing, in at least one US state.

  • Ensures compliance with company Code of Business Conduct and Ethics and ensures reporting of potentially material legal issues to audit function and senior management
  • Performs other job-related duties as assigned

Required Qualifications

  • Bachelor's Degree
  • Juris Doctorate
  • Experience: 10+ years
  • Member in Good Standing of State Bar
