Position Specific Description

The employee in this position will be tasked with the following:
•    Managing life cycle of subsidiaries by obtaining necessary approvals and preparing legal documents to effect formations, amendments, qualifications to do business, withdrawals, mergers of limited liability companies 
•    Establishing and maintaining electronic minute book records (organizational documents and corporate resolutions) for newly formed and acquired entities 
•    Updating CSC entity management database to enter information for new entities and changes in entity information; use database to provide information for shared mailbox requests
•    Preparing ~5,000 annual report filings for various jurisdictions
•    Promptly responding to routine information requests sent to Corporate Governance shared mailbox to provide information about organizational structure, ownership and management following established procedures
•    Responding to shared mailbox requests include preparing and providing W-9s, officer lists, incumbency certificates, corporate structure charts, EINs, secretary’s certificates, subsidiary attestations, obtaining good standing certificates 
•    Drafting routine corporate consents for subsidiaries, including banking resolutions and officer changes

Employees in this position are responsible for providing paralegal support to the company and for the attorneys within the law department.

Job Duties & Responsibilities

Under limited supervision:

  • Drafts and edits legal documents based on edits and input from corporate attorneys
  • Participates in special projects or activities related to the legal discipline being supported  
  • Performs legal and transaction related research
  • Performs other job-related duties as assigned

Required Qualifications

  • High School Grad / GED
  • Bachelor’s or Equivalent Experience
  • Experience: 0+ years

Preferred Qualifications

  • Paralegal Certification
